Terms of Service

These Terms govern your use of deepakm.dev(“the Site”) and any consulting or development engagement with Deepak Mishra. By using the Site or engaging our services, you agree to these Terms.

1. Site content

All content on the Site — including copy, code snippets, page layout, images, and branding — is the property of Deepak Mishra unless attributed to a third party. You may quote short excerpts with credit and a link back; substantive reuse requires written permission.

2. No warranties on Site content

The Site is provided on an “as is” basis. We do our best to keep information accurate and up to date but make no guarantees that any article, code sample, or opinion here will fit your specific situation. Nothing on the Site constitutes legal, financial, or fiduciary advice.

3. Consulting engagements

When you engage us for consulting, audit, or development work, the specific scope, deliverables, pricing, and IP terms are governed by a separate written Statement of Work (SOW) signed by both parties. If any conflict arises between these Terms and the SOW, the SOW takes precedence for that engagement.

4. Payments

Fixed-scope projects are billed in milestones (typically 40 / 30 / 30). Retainers are billed monthly in advance. Late payments beyond 15 days may pause active work; extended non-payment may terminate the engagement.

5. Confidentiality

Anything you share for the purposes of scoping or executing an engagement — business goals, code, credentials, roadmaps — is treated as confidential. We're happy to sign a mutual NDA before technical discovery on request.

6. Intellectual property in delivered work

For fixed-scope engagements, IP in the custom code we write transfers to you upon final payment. Open-source dependencies remain under their own licenses. Any pre-existing IP, frameworks, or tools we bring to the engagement remain ours; you receive a perpetual license to use them as part of the delivered work.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the Site or any engagement is limited to the fees paid by you for the specific engagement in the three months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

8. Third-party links

The Site may link to external resources (GitHub, docs, vendor sites). We are not responsible for the content or availability of those external sites.

9. Changes

We may update these Terms as the Site or our practices evolve. Continued use after an update means acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of India. Any dispute will be resolved in the courts of New Delhi, unless an engagement-specific SOW specifies otherwise.
